BRSR and Governance Advisory for Small Listed Companies and Their Suppliers

Advisory · Bengaluru, working across India

The sustainability-reporting rules now reach the top 1,000 listed companies, and through them the unlisted suppliers who have to answer their data requests. Most companies below ₹1,000 crore have nobody in-house whose job that is. We do that job, at a fixed fee, and we say plainly what we are not.

Advisory, not assurance. We help a company get its governance and BRSR data, systems and disclosures ready. The assessment or assurance that SEBI requires on BRSR Core must be done by a separate provider that meets SEBI’s conditions; we are not that provider, and we are not chartered accountants or company secretaries. We help you choose one and get through it.

A fixed-fee readiness engagement for your first BRSR Core cycle

Six to eight weeks. We map every BRSR Core data point to the person and system that holds it, build the data trail an assurance provider will ask for, draft the disclosures, and leave a calendar and a template your company secretary can run next year without us.

Fixed fee, quoted in writing after a first conversation. The first conversation is free.

Three situations we are usually called in for

A listed company entering BRSR Core

You are in the top 1,000 by market capitalisation and BRSR Core assessment or assurance now applies to you. The data exists in a dozen places and nobody has reconciled it. You need it in one place, defensible, by the annual report deadline.

An unlisted supplier with a data request

A listed customer has sent an ESG questionnaire, or a value-chain BRSR request, and made it a condition of the next contract. You have no sustainability function. You need to answer it correctly, once, in a way you can repeat.

A board that needs its governance looked at

Board evaluation, committee charters, related-party transaction policy, independent-director induction, the familiarisation record. Often ahead of a fundraise or a listing; sometimes because an auditor or a lender has asked.

What the work includes

Area What we do What you keep
BRSR Core data Map each disclosure to its source, owner and evidence. Reconcile with the financials and the HR and EHS records. A data register and an evidence file, ready for the assurance provider.
Disclosures Draft the BRSR section and the board’s responsibility statement in the SEBI format. The drafted report, and the reasoning behind every number.
Supplier responses Answer your customer’s questionnaire from your own records; set up a reusable response pack. A response pack you can send to the next customer without starting again.
Board and governance Board evaluation, committee charters, RPT policy, independent-director search and induction. Board-approved policies and an evaluation record.
Choosing assurance Shortlist providers that meet SEBI’s conditions, brief them, manage the process. An assurance engagement that finishes on time.
